CryptoNexis provides a comprehensive restaurant customer loyalty analytics platform that enables restaurants to analyse customer behaviour, manage loyalty programmes, and optimise revenue through data-driven insights. Our services include but are not limited to customer analytics dashboards, loyalty programme management tools, revenue optimisation features, and data integration capabilities.

3. User Obligations

As a user of our services, you agree to:

• Provide accurate, current, and complete information during the registration process
• Maintain the security of your account credentials and accept responsibility for all activities under your account
• Use the service only for lawful purposes and in accordance with these Terms of Service
• Not attempt to gain unauthorised access to our systems or networks
• Not use the service to transmit any harmful, threatening, or illegal content
• Comply with all applicable laws and regulations in your use of our services
• Respect the intellectual property rights of CryptoNexis and third parties

4. Account Registration and Security

To access certain features of our platform, you must register for an account. You are responsible for maintaining the confidentiality of your account information and password. You agree to notify us immediately of any unauthorised use of your account. CryptoNexis will not be liable for any loss or damage arising from your failure to comply with these security obligations.

6. Intellectual Property

The CryptoNexis platform, including all content, features, functionality, software, and technology, is owned by CryptoNexis Ltd and is protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable licence to access and use our services for your business purposes. You may not:

• Copy, modify, distribute, sell, or lease any part of our services
• Reverse engineer or attempt to extract the source code of our software
• Create derivative works based on our platform
• Remove or alter any proprietary notices or labels

7. Payment Terms

Subscription fees for our services are billed in advance on a monthly or annual basis. All fees are non-refundable except as expressly stated in these terms. We reserve the right to change our pricing with thirty (30) days' notice. Failure to pay fees when due may result in suspension or termination of your account.

8. Service Availability

Whilst we strive to provide continuous service availability, we do not guarantee that our platform will be available at all times. We may experience downtime due to maintenance, updates, or unforeseen technical issues. We will make reasonable efforts to minimise service interruptions and provide advance notice when possible.

9. Limitation of Liability

To the maximum extent permitted by law, CryptoNexis Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of our services. Our total liability to you for any claim arising from these terms or your use of our services shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

10. Disclaimer of Warranties

Our services are provided "as is" and "as available" without any warranties of any kind, either express or implied. We disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that our services will be uninterrupted, secure, or error-free.

11. Indemnification

You agree to indemnify, defend, and hold harmless CryptoNexis Ltd, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising from your use of our services, violation of these terms, or infringement of any third-party rights.

12. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions. Any disputes arising from these terms or your use of our services shall be subject to the exclusive jurisdiction of the courts of England and Wales.

13. Termination

Either party may terminate this agreement at any time with written notice. CryptoNexis may terminate or suspend your account immediately, without prior notice, for conduct that we believe violates these Terms of Service or is harmful to other users, us, or third parties. Upon termination, your right to use our services will cease immediately, and we may delete your account and data.

14. Modifications to Terms

We reserve the right to modify these Terms of Service at any time. We will provide notice of material changes by posting the updated terms on our website and updating the "Last updated" date. Your continued use of our services after such modifications constitutes acceptance of the updated terms.

15. Severability

If any provision of these Terms of Service is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these terms will otherwise remain in full force and effect and enforceable.

16. Entire Agreement

These Terms of Service, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and CryptoNexis Ltd regarding the use of our services and supersede all prior agreements and understandings.
